Promotional Operational Fee Terms — Florida and Texas

Introduction

These Promotional Operational Fee Terms (these "Promotional Terms") set out the conditions of a limited-time promotional Operational Fee offered by Booksy Inc., 2045 W Grand Ave Ste B, PMB 991343, Chicago, IL 60612-1577 ("Booksy", "we", "us", "our") to Service Providers in Florida and Texas (the "Offer").

These Promotional Terms are expressly incorporated by reference into, and form part of, the Terms of Service and therefore of the Agreement. They are issued under section 3.8.2 of the Terms of Service, which provides that Operational Fees may be subject to discounts or promotions. Capitalized terms used but not defined in these Promotional Terms have the meaning given to them in the Terms of Service.

All provisions of the Terms of Service continue to apply in full, including the provisions on Booksy Payments, chargebacks, processing errors, refunds, tax responsibilities, set-off and collection rights, prohibited uses, disclaimers and limitations of liability, Dispute Resolution and Arbitration Agreement (section 13), and Governing Law and Venue (section 15.1). Where these Promotional Terms conflict with the Terms of Service, these Promotional Terms prevail only in respect of the Promotional Operational Fee described in section 3 below. The Terms of Service prevail in all other respects.

By activating Booksy Payments during the Offer Period, you accept these Promotional Terms.

1. Offer Period

The Offer is available to eligible Service Providers who activate Booksy Payments between 12:00:00 a.m. Central Time on July 27, 2026 and 11:59:59 p.m. Central Time on December 31, 2026 (the "Offer Period").

We may extend, shorten, modify, suspend or end the Offer Period at any time and at our sole discretion. Any such change takes effect prospectively only and does not affect the Promotional Operational Fee of a Service Provider already enrolled in the Offer.

2. Eligibility

To be eligible for the Offer, you must:

  1. have a business address in your Account located in the State of Florida or the State of Texas;
  2. not have processed any payment through Booksy Payments, or through any other Booksy payment functionality, at any time before the start of the Offer Period. This covers both (a) Service Providers completing Registration for the first time, and (b) existing Service Providers who have not yet activated Booksy Payments;
  3. activate Booksy Payments during the Offer Period, which means satisfying all of the requirements in section 3.8.1.4 of the Terms of Service, including acceptance of the Payment Operator's terms and conditions and completion of the Payment Operator's Know Your Customer process; and
  4. hold an Account that is not suspended, limited or terminated, and have no Fees or Operational Fees overdue to us.

Service Providers who are processing, or who have previously processed, payments through Booksy Payments are not eligible for the Offer and will continue to pay the standard Operational Fee.

We determine eligibility at our sole discretion. The Offer is limited to one enrollment per Service Provider. We may treat two or more Accounts sharing a taxpayer identification number, employer identification number, Payment Operator Account, bank account, ownership, control or business address as a single Service Provider, and we may withhold or withdraw the Offer where an Account is created, transferred or restructured principally in order to obtain the Offer.

3. Promotional Operational Fee

If you are enrolled in the Offer, your Operational Fee for Booksy Payments will be 2.00% of the transaction value + USD 0.20 (the "Promotional Operational Fee") in place of the standard Operational Fee rates set out in section 3.8.2 of the Terms of Service. The Promotional Operational Fee applies to all Booksy Payments features, including Keyed-in Payments, Booksy Card Reader, Tap to Pay, Booksy Pay, no-show protection deposits and cancellation fees, and Gift Cards sold through the Booksy for Customers App.

Where the standard Operational Fee for a particular transaction would be lower than the Promotional Operational Fee, the lower rate applies.

The Promotional Operational Fee replaces Operational Fee rates for the processing of Booksy Payments only. It does not alter, reduce or waive:

‍

  1. the Operational Fee for Fast Payouts, which remains 1.5% of the total Fast Payout amount requested;
  2. any other Fee, including the price of your Subscription and fees for Staff Members;
  3. the purchase price of any Booksy Card Reader Device;
  4. any amount charged by the Payment Operator under your separate agreement with the Payment Operator; or
  5. the Platform Fee, which remains a fee you may choose to add to the price of a Service and is capped as set out in section 3.8.2 of the Terms of Service.

4. Guarantee Period

The Promotional Operational Fee is guaranteed for twelve (12) consecutive months beginning on the date of your first transaction successfully processed through Booksy Payments under the Offer (the "Guarantee Period"). During the Guarantee Period we will not increase the Promotional Operational Fee.

If you do not process your first transaction through Booksy Payments within ninety (90) days after activating Booksy Payments, the Offer lapses and the Promotional Operational Fee will not apply.

The Guarantee Period is not extended or suspended for any period during which Booksy Payments is deactivated, suspended or unused.

When the Guarantee Period ends, the standard Operational Fee rates then set out in section 3.8.2 of the Terms of Service apply, unless we agree otherwise with you in writing. We will give you reasonable advance notice of the applicable rates before the Guarantee Period ends, in accordance with section 3.8.2 of the Terms of Service.

5. When the Offer ends early

The Promotional Operational Fee ends, and the standard Operational Fee applies from that point, if:

  1. your Account or your access to Booksy Payments is terminated, suspended or limited by you or by us;
  2. you cease to meet any eligibility requirement in section 2;
  3. you breach the Terms of Service, including the Prohibited Uses section;
  4. the Payment Operator closes, suspends or restricts your Payment Operator Account, or terminates its agreement with you;
  5. you have Fees or Operational Fees overdue to us that remain unpaid after we notify you; or
  6. you and we agree in writing to different Operational Fee rates.

6. General

  1. The Offer cannot be combined with any other Booksy discount, promotion, rebate, credit or individually agreed Operational Fee rates, unless we state otherwise in writing.
  2. The Offer has no cash value, cannot be transferred or assigned, and cannot be exchanged or redeemed for cash or credit.
  3. The Offer is void where prohibited or restricted by law, and is not available to Service Providers whose business address in the Account is outside Florida and Texas.
  4. You remain solely responsible for all taxes as set out in section 8 of the Terms of Service.
  5. If we do not enforce any part of these Promotional Terms, that does not mean we give up our right to do so later.
  6. If any part of these Promotional Terms is found to be unlawful, void or unenforceable, it will be treated as removed and all other parts remain valid and enforceable.
